AR DA VIDA

WATERFRONT RESIDENCE CLUB

Príncipe Island
Waterfront Real Estate

Within a UNESCO Biosphere Reserve

AR DA VIDA Waterfront Residence Club offers real property ownership of a limited collection of serviced waterfront residences on Príncipe Island, São Tomé & Príncipe. Set within an eco-luxury resort environment, the project combines long-term land security, carefully managed operations and access to one of the world’s most protected tropical coastlines. With only 24 residences along 1.8 km of shoreline, this is a rare opportunity in a highly constrained location.

The Opportunity

AR DA VIDA Waterfront Residence Club forms part of the wider Ar Da Vida Eco Resort, an internationally designed eco-luxury development on Príncipe Island. The masterplan combines low-density architecture with sensitive integration into the landscape, prioritising long-term environmental and asset resilience.

Within this framework, the Waterfront Residence Club comprises 24, 2-3 bedroom serviced residences positioned along approximately 1.8 km of coastline between Ponta Cabra and Ponta Mateus. Each residence is designed for year-round use, with professional management, resort services and direct connection to the wider Ar Da Vida facilities.

Legal Security

The legal structure of the AR DA VIDA Waterfront Residence Club has been prepared to provide long-term clarity over land tenure, building ownership and investor rights within the framework of São Tomé & Príncipe law.

The legal framework has been reviewed and verified by Vieira de Almeida, an international law firm with established practice in the region.

  • 90-year land concession granted by the Regional Government of Príncipe

  • Surface rights over the designated land parcel

  • Ownership of all residential buildings within the Waterfront Residence Club

  • Rights to mortgage and finance the property, subject to lender requirements

  • Rights to repatriate capital and profits in accordance with applicable regulations

Detailed terms are set out in the Deed of Sale, Constitution and Rules of the Waterfront Residence Club.

Ownership Structure

Ownership in the Waterfront Residence Club is structured through São Tomé–registered companies, providing flexibility for individual and shared acquisition while maintaining clear rights and obligations for all parties.

This structure is fundamentally different from traditional timeshare models. Investors hold equity interests linked to a specific residence, with associated usage rights, participation in rental income and alignment with capital appreciation.

Core structure

  • Full ownership or fractional ownership via São Tomé–registered company

  • Up to 10 shareholders per residence company

  • Documented shareholders’ agreement governing rights and obligations

  • 4 weeks of personal usage per shareholder per year, scheduled within agreed rules

  • Participation in net rental income for periods when residences are in the rental pool

  • Aligned participation in potential capital appreciation at exit

Why is this different from a timeshare?

Timeshare models typically provide time-based usage rights without direct ownership of a specific asset. At AR DA VIDA Waterfront Residence Club, investors hold equity interests in companies that in turn hold real rights over a defined residence. Usage, income participation and exit are structured around this underlying ownership, not short-term holiday allocations.

Residency Benefits

Ownership within AR DA VIDA Waterfront Residence Club may provide a pathway to residency status in São Tomé & Príncipe, subject to prevailing laws and the decisions of the relevant authorities.

  • Ownership may qualify investors to apply for a Permanent Residence Permit in São Tomé & Príncipe, in accordance with applicable regulations

  • Subject to approval, holders of a Permanent Residence Permit may apply for citizenship after five years of residency renewals

  • All applications are subject to due process, background checks and the discretion of the competent authorities

No guarantees are made regarding residency or citizenship outcomes. Investors should obtain independent legal and tax advice in their home jurisdictions before proceeding.

Sustainable Luxury

The environmental framework of AR DA VIDA is designed to support long-term value protection for both the natural landscape and the built assets. Sustainability measures are integrated as part of responsible resort operations rather than positioned as a separate theme.

  • Use of renewable energy systems where feasible within the island context

  • Eco-friendly sewage treatment and water management solutions

  • Low-consumption building systems and appliances to minimise operating demands

  • On-site conservation initiatives aligned with the island’s protected status

  • Organic cacao plantation and small-scale craft chocolate production integrated into the estate

These measures are intended to reduce environmental impact, support regulatory alignment and create a stable operating context for the resort and its owners over time.

Why Príncipe?

Príncipe Island is a UNESCO Biosphere Reserve and one of the world’s last largely untouched tropical islands. Development is deliberately limited, and environmental protections are strict, creating a distinctive context for long-term real estate ownership.
